Terms and Conditions

 

These Terms and Conditions (the “Terms”) apply to the provision of the following postgraduate course for dentists provided by YD Academy Limited, trading as Young Dentist Academy Ltd. (“YDA”): Pathway to Enhanced Dentistry  (the “Course”).

 

1.        Course Details

​

1.1     The aims, topics, locations, lecturers, methods of delivery and outcomes of the Course (the “Course Content”) are set out at youngdentistacademy.co.uk.

1.2     The Course will consist of seven course sessions (each hereinafter referred to as a “Course Session”) to be held at approximately four week intervals over a period commencing in January 2017 (the “Commencement Date”). Each Course Session will be approximately six hours in duration.

1.3     YDA reserves the right to vary the Course Content and the Commencement Date. YDA will confirm the Commencement Date, the number of Course Sessions, Course Session topics, dates and times at the later of the date of payment of the Deposit (see clause 2) and four weeks prior to the Commencement Date.  The other elements of the Course Content may be varied without notice at the discretion of YDA.

2.       Deposit

​

2.1     A Deposit of £976.50 (the “Deposit”) less any site discounts is required to enrol on the Course. Your place on the Course will be reserved once your online purchase has completed, you have agreed to YDA’s terms & conditions and payment of the Deposit has cleared.

2.2     This Deposit will be taken towards the course fee.

2.3     Otherwise, the Deposit is non-refundable unless YDA cancels the entire Course.

3.       Course Fees

​

3.1     You agree to pay YDA the full course fee of £3150 less any site discounts (the “Course Fee”), which is payable in four instalments, the first instalment is the deposit of £976.50 less any site discounts and is non-refundable. The second (£724.50), third (£724.50) and fourth (£724.50) instalments settle the remaining balance and are to be paid on or before the 1st April, 1st June and 1st August 2017 respectively (each hereinafter referred to as an “Instalment”).

3.2     If you pay the Course Fee in full on or before the 31th of December 2016, YDA will give you a discount of £420.

3.3     You will not be allowed to attend any Course Sessions where Instalments are overdue.

3.4     You can pay for individual days at £450 each day, with no obligation to attend other days, You must pay at least 1 week prior to the date.

3.5    No refund will be provided for Course Sessions missed due to late payment and YDA has no obligation to accommodate you in subsequent years in sessions similar to the Course Sessions you missed due to late payment.

3.6    If the Course Fee is not received within the specified times set out in this clause 3, YDA reserves the right to charge 4% interest above the Lloyd’s Bank plc base rate on the outstanding amount or a rate of interest in line with the Late Payment of Commercial Debts (Interest) Act 1998 as appropriate.

3.7     If any Instalment becomes 30 days overdue, YDA reserves the right to sue you in breach of contract for the full Course Fee less any amount already paid, plus any interest further to sub-clause 6 and legal fees incurred in taking action against you under this clause 3.

3.8    If and to the extent that a third party has undertaken to pay for the Course on your behalf, you will remain liable for payment in accordance with this clause 3 of the Terms. You will be the contact regarding payment and not any third party.  Should the third party pay the first Instalment of the Course Fee and refuse to pay any subsequent Instalments, you will be responsible for payment of the outstanding balance of the Course Fee under the Terms.

3.9    If you fail to attend one of the Course Sessions, subject to clauses 5 and 3.10, YDA will endeavour to place you in the same or similar session in the following year. You will not be refunded for your failure to attend any Course Sessions.

3.10    Subject to YDA running the course in the following year and to availability, with delegates who sign up in the following year taking priority, a maximum of one of the same or similar sessions to the Course Sessions you fail to attend shall be offered to you in the following year, regardless of how many Course Sessions you fail to attend. No sessions in subsequent years will be offered to you in lieu of any Course Sessions you fail to attend.

3.11     In the unlikely event of having to cancel any Course Sessions, alternative dates will be arranged. You will not be refunded for any cancelled Course Sessions that YDA arranges to hold at a later date.

4.     Methods of Payment

​

4.1    Payment of the Deposit and the Course Fee may be made by:

4.2    Card payment online

4.3    Cheque or bankers draft made payable to Young Dentist Academy Ltd. (cleared funds to reach our account by the due dates for payment set out in clause 3); or

4.4    Bank transfer to Lloyds Bank with the following details or any other account nominated in writing by YDA:

  • Account name: Young Dentist Academy Ltd.;

  • Account number: 36736660;

  • Sort Code: 30-90-42; and

  • Payment reference (your name and Instalment number).​

5.     Materials

​

5.1    For the purposes of this paragraph 5, “Intellectual Property Rights” means all patents, rights to inventions, copyright and related rights, trademarks, trade names and domain names, rights in get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database rights, topography rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of, such rights and all similar or equivalent rights or forms of protection which may now or in the future subsist in any part of the world.

5.2     All Intellectual Property Rights in the original materials used in providing the Course, either electronically or in hard copy, (“Materials”) will be owned by YDA.

5.3     The Materials are provided for your personal use for the purposes of the Course only and may not be distributed by you or used for any other purpose by you without the express written consent of YDA.

5.4     If you are unable to attend a Course Session, YDA will provide a copy of the Materials for that session to you. YDA reserves the right to charge a reasonable fee for getting the Materials, by post or otherwise, to you.

5.5     If you lose the Materials for a Course Session you may request another copy, which will be provided at the discretion of YDA for a fee of £60.

6.    CPD and Accreditation

​

6.1    Each Course Session is worth 6 hours of verifiable Continuous Professional Development (CPD). YDA will ensure that you receive full CPD credit for each Course Session you attend, provided you comply with these Terms.

6.2    A course completion certificate will be awarded to you upon successful completion of the Course.

7.      Publicity

​

7.1     You shall not use the name or brand of YDA in any promotion, marketing, press release announcement, or publish the Materials for any commercial purpose, without prior written consent of YDA.

​

8.     Limitation of Liability

​

You are responsible for:

8.1     The full cost of repair or replacement (at YDA’s sole discretion) of materials or equipment provided by YDA that are damaged during use by you, howsoever that damage is caused; and

8.2     The full cost of repair of any damage caused to the venue used in the provision of the Course that is attributable to you.

8.3     Subject to paragraph 5 below, YDA shall not be liable to you whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any loss of profits, loss of business, loss of anticipated savings or any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses arising under or in connection with the Terms.

8.4     YDA’s total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of the Terms shall be limited to the Course Fee paid by you for the Course.

YDA accepts no liability for:

​

8.5     Your use or application of the teaching or content of the Course or the Materials to your or your employer’s own clinical practice/business or the consequences resulting from such application to specific cases;

8.6     Any use of any information provided in the delivery of the Course, or of the Materials, except where any claims arise from any breach by YDA of these Terms including any negligent or reckless act, omission or default in the provision of the Course; or

8.7     Direct or indirect losses incurred by you as a result of any cancelation as set out in clause 11 of these Terms.

8.8     Nothing in these Terms limits or excludes YDA’s liability for:

  • Death or personal injury resulting from negligence; or

  • Any damage or liability incurred by you as a result of fraud or fraudulent misrepresentation by YDA.

 

9.     Governing Law

​

9.1     These Terms and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with its subject matter shall be governed by, and construed in accordance with, the laws of England and Wales and you and YDA will submit to the exclusive jurisdiction of the English courts.

​

10.    Entire Agreement

​

The Terms represent the entire agreement between you and YDA relating to the subject matter of the Terms.
